Position Overview

You will join a collegial team of 10 legal professionals and report to the Director of Contracts. This is a multifaceted position and allows the individual to grow and excel in supporting different aspects of the organization. The ability to handle a fluctuating workload is important for success in this position. Our Legal Department is expected to grow rapidly over the next few years and there will be exciting opportunities for career growth. To provide contract management/paralegal support to the legal team and the company. This position is a hybrid based out of our Irvine, California office and working hours are Monday through Friday.

Responsibilities

  • Manage and maintain corporate books and records including foreign/annual filings and renewals, draft and revise corporate organizational and board documents such as bylaws, resolutions and minutes.
  • Review and redline NDAs, POs, and other documents as assigned under the direction of either Director of Contracts and/or an Attorney.
  • Help support the contract execution process, including assemble agreements and exhibits, and obtain signature from authorized signatories as needed.
  • Lien Management - Coordinate with Sales Managers, Corporate Finance and Sales Ops and file preliminary notice to the lien as appropriate in a timely manner. File UCC liens (UCC-1 and UCC-3) and also manage the renewal process. Supervise and confirm the correct filings of liens.
  • Manage and maintain Contract Tracker, Entity Management, Legal Services, and other various spreadsheets (Google sheet).
  • Contract Management System (CMS) - Help set-up, implement, manage and maintain. Make improvements and customize as needed.
  • Manage and maintain and update various forms of agreements.
  • Help support responding to inquiries in the legal shared inboxes.
  • Vendor Management (e.g. Levelset and CT)
  • Supervise, assist, and back-up Legal Administrator and Legal Assistant as needed.
  • Perform other duties and special projects as assigned as needed.

    Required Qualifications
    • Bachelor's Degree with minimum of 5 years of experience or equivalent in in-house legal department or law firm experience.
    • Experience with solar industry is a plus, especially with handling and managing Engineering, Procurement, and Construction (EPC), Project Development, and Project Finance Agreements.
    • Computer and tech savvy. Advance level in MS Office Suite, G-Suite, and Adobe Pro (pdf).
    • Enjoy learning using new software or any type of computer system.
    • Excellent verbal, written communication, organizational, and time management skills
    • Agile and effective communicator with clear oral and written explanations
    • Ability to prioritize multiple and simultaneous projects, issues, and activities
    • Proactive and enjoy working in a fast-paced environment
    • Able to multi-task, set priorities, and meet deadlines
    • Confidence and ability to interact with people at all levels of the organization.
    • Dependable and trustworthy
    • CA Notary public or willing to become one.
