Bluon is searching for a Corporate Paralegal to join our ever-growing team in our Irvine, HQ. This position will include interaction with our Executive team and potentially our Board of Directors. Strong initiative, communication, responsiveness, and follow-through are essential for this job. The ideal candidate will successfully support various workstreams across the legal, accounting, finance, and HR departments. The ability to maintain confidentiality and operate in the role with the highest ethical standards and professionalism is required.Key Responsibilities

• Assist with organizing, maintaining and managing corporate documents and records, including business registrations, annual reports, foreign qualifications, etc.
• Assists in preparation, management and maintenance of various agreements such as employment offer letters, vendor contracts, non-disclosure agreements, and employee invention assignment agreements
• Draft minutes and maintain corporate minute books
• Assist in organizing and facilitating board meetings
• Manage the day-to-day administration of Bluon's equity incentive plan on third-party equity administration platform, Carta
• Maintain Bluon's ongoing capitalization records
• Ensure all equity plan transactions (stock option grants, exercises, vesting schedule changes and terminations) are processed correctly and in a timely manner
• Collaborate with legal counsel to document board consents approving stock option grants and other equity related matters
• Prepare closing checklists, coordinate closings for M&A or financing transactions (such as preparing signature pages and following up on post-closing items), including preparation of related closing binders
• Support and coordinate projects with all departments and other business units, such as assisting finance team on yearly audits
• Assist the legal team on a variety of tasks, projects, processes and initiatives as neededSkills Knowledge and Expertise
  • 3+ years of relevant experience within a similar role
  • Degree in Paralegal studies preferred, but not required
